Board Terms
Board terms last for two years, and directors are usually elected during annual meetings. Officers are elected by the Board at the annual meeting and serve for one year or until new successors are elected and qualified.
Board Member Duties and Responsibilities
Board members are the fiduciaries who steer the organization towards a sustainable future by adopting sound, ethical, and legal governance and sound financial management policies. Board members also ensure GU has adequate resources to advance its mission “to promote and facilitate the revitalization of Germantown and its business corridors through a sustainable, creative, and community-driven approach to economic development.”
Fiduciary duty requires board members to stay objective, unselfish, responsible, honest, trustworthy, and efficient. Board members, as stewards of public trust, must always act for the good of the organization, rather than for the benefit of themselves. They need to exercise reasonable care in all decision making, without placing the organization under unnecessary risk.
